A construction company faces a long and often difficult journey when it receives a \u201cNotice of Claim\u201d letter informing it of a possible construction-defect lawsuit.\u00a0 Usually, one of the first questions asked is, \u201cWhat am I supposed to do now?\u201d\u00a0 A prudent construction company will immediately notify its insurance carrier(s), and often, the insurance carrier will retain a lawyer to defend the construction company.<\/p>\n

When it hires an attorney to defend you, an insurance carrier creates a \u201ctripartite relationship.\u201d\u00a0 As its name suggests, the tripartite relationship consists of three parts: you, the insurance carrier, and the attorney the insurance carrier hires to defend you.\u00a0 The insurance company typically has a select number of firms from which to choose panel counsel, and retains the attorney of its choice to defend a claim.<\/p>\n

The nature of the tripartite relationship \u2013 the fact the insurance carrier controls the \u201cpurse strings\u201d \u2013 is the source of many headaches.\u00a0 The relationship often leaves the client with a suspicion that the attorney represents the insurance carrier, and is, therefore, acting in the carrier\u2019s best interests rather than your own.\u00a0 Ethically, that\u2019s simply not true (but it\u2019s common for a newly initiated defendant to improperly refer to his attorney as \u201cthe insurance carrier\u2019s attorney.\u201d)<\/p>\n

Although hired by the insurance company, the insured is the attorney\u2019s client. \u00a0The Ethics Committee of the Colorado Bar Association addressed this issue when it wrote, \u201cAn attorney retained by an insurance company to represent its insured in the defense of a claim by a third party is typically paid by the insurance company.\u00a0 Nonetheless, the insured is the client to whom the lawyer\u2019s duty of loyalty is owed, regardless of the terms of any retention agreement the lawyer may have with the carrier.\u201d<\/p>\n

While the carrier-appointed attorney is working away defending your case, the insurance company may be busy investigating whether its policy actually provides coverage for the lawsuit.\u00a0 At some point, particularly with construction-defect lawsuits, it may issue a \u201cReservation of Rights\u201d letter to advise you there may not be coverage, and that it reserves its rights to withdraw the defense attorney and disclaim coverage.\u00a0 You presumably call your attorney and ask him to explain what\u2019s going on, what the letter means, and what to do next. \u00a0Your attorney responds by not answering any of your questions and simply stating, \u201cI cannot offer legal advice on coverage issues.\u201d<\/p>\n

Exasperated, you respond, \u201cWhat?\u00a0 But you\u2019re my attorney!\u201d Unfortunately, because of the tripartite relationship, your carrier-appointed attorney cannot offer legal advice regarding coverage issues. You\u2019re pretty much on your own . . . unless you hire personal\/coverage counsel.<\/p>\n

Let\u2019s look at another scenario.\u00a0 The plaintiff \u2013 the homeowners association \u2013 issued an expert report that claims over $2,000,000 in damages.\u00a0 Your insurance policy only provides $1,000,000 in coverage.\u00a0 During mediation, the HOA offers to settle its claims for $1,000,000.\u00a0 Your carrier-appointed attorney thinks this is a great deal and recommends to the insurance carrier that it accept the offer.\u00a0 You think to yourself, \u201cThat\u2019s a no brainer; we\u2019re settling!\u00a0 I could lose my business, maybe my house, and possibly everything else if the HOA wins at trial.\u201d\u00a0 However, the insurance carrier refuses the offer \u2013 against the attorney\u2019s recommendation and without even consulting you.\u00a0 What do you do now?\u00a0 Isn\u2019t that why you purchased insurance?<\/p>\n

Here\u2019s a third scenario:\u00a0 you\u2019re listed as an \u201cadditional insured\u201d on your subcontractor\u2019s insurance policy.\u00a0 Shortly after you receive the notice of claim letter, you write to your subcontractor\u2019s carrier and notify it of the pending lawsuit.\u00a0 Without any explanation, the subcontractor\u2019s carrier refuses to defend or indemnify your company in the lawsuit.\u00a0 Who do you turn to?<\/p>\n

In each of the above scenarios, an independent attorney \u2013 one you hire \u2013 can help you with coverage issues that your insurance-assigned attorney simply cannot address due to the nature of the tripartite relationship.\u00a0 Personal counsel owes no fiduciary obligation to the insurance company and can work to protect your interests when they are adverse to your insurance company.\u00a0 Often personal counsel is utilized to persuade the insurance carrier to provide coverage or settle the case.<\/p>\n
