{"id":890879,"date":"2016-09-06T15:40:47","date_gmt":"2016-09-06T21:40:47","guid":{"rendered":"https:\/\/www.myconstructionexpert.com\/blog\/?p=890879"},"modified":"2016-09-06T15:40:47","modified_gmt":"2016-09-06T21:40:47","slug":"attorneys-fees-incurred-awarded-result-property-damage-claim-covered-hoas-cgl-policy","status":"publish","type":"post","link":"https:\/\/www.myconstructionexpert.com\/blog\/attorneys-fees-incurred-awarded-result-property-damage-claim-covered-hoas-cgl-policy\/","title":{"rendered":"Attorneys&#8217; Fees Incurred and Awarded as a Result of a Property Damage Claim Are Covered Under HOA&#8217;s CGL Policy"},"content":{"rendered":"<p>Kevin Pollack | <a href=\"http:\/\/www.propertyinsurancecoveragelaw.com\/2016\/09\/articles\/insurance\/attorneys-fees-incurred-and-awarded-as-a-result-of-a-property-damage-claim-are-covered-under-hoas-cgl-policy\/index.html\" target=\"_blank\">Property Insurance Coverage Law Blog<\/a> | September 5, 2016<\/p>\n<p>If an HOA is sued pertaining to a dispute over property damage, and the opposing party prevails and obtains an award of attorney fees, does the HOA\u2019s liability insurance policy cover the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/arbitrators-award-of-attorneys-fees-thrown-out-because-the-parties-agreement-did-not-provide-for-it\/\" target=\"_blank\">attorney fee award<\/a>?<\/p>\n<p>According to a recent district court decision in Hawaii, the answer is <em><strong>yes<\/strong><\/em>.<\/p>\n<p>In <em>Apartment Owners of the Moorings v. Dongbu Insurance Company<\/em>,<sup>1<\/sup> Jo-Anne and Brent Braden brought an arbitration claim against their HOA (Association of Apartment Owners of the Moorings, Inc. (the \u201cAOAO\u201d)) for property damage arising from the AOAO\u2019s failure to repair and maintain the roof after their condominium unit suffered water damage. The Braden\u2019s contended that the AOAO had failed to repair and maintain their lanai roof, which they claimed caused the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/say-what-a-policy-that-does-not-cover-any-water-damage\/\" target=\"_blank\">water damage<\/a> to the interior of their unit.<\/p>\n<p>At the conclusion of the arbitration, the arbitrator determined that (1) the lanai roof was a common element that the AOAO had to maintain; (2) the AOAO had failed to properly maintain the lanai roof, which was the source of leaks that had caused damage to their unit, and (3) the AOAO\u2019s failure to address the interior damage was \u201cdeliberately discriminatory &#8230; because interior damages were paid to other owners.\u201d<\/p>\n<p>The arbitrator\u2019s order required that the AOAO:<\/p>\n<ol>\n<li>Pay the Bradens $6,203.49 in special damages, which reflected the amount they had paid to repair their roof and interior damage;<\/li>\n<li>To contract with a licensed roofing contractor to perform all necessary and reasonable work on the Bradens\u2019 lanai roof; and to<\/li>\n<li>Pay the Braden\u2019s attorney\u2019s fees and costs incurred in pursuing the litigation because they were the \u201cprevailing party.\u201d This required AOAO to pay the Braden\u2019s $85,644.30 in attorneys\u2019 fees and $8,515.91 in costs.<\/li>\n<\/ol>\n<p>The AOAO had a general liability insurance policy issued to it by Dongbu Insurance Company. Although the insurer informed the AOAO that it would reimburse the AOAO for the $6,203.49 in special damages and the $8,515.91 in costs incurred by the Bradens, it also took the position that it would not pay the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/award-of-attorneys-fees-in-construction-dispute-founded-solely-on-aaa-rules\/\" target=\"_blank\">attorneys\u2019 fees award<\/a> of $85,644.30. Dongbu\u2019s position was that the attorneys\u2019 fee award was not covered under the policy because it did \u201cnot constitute \u2018bodily injury,\u2019 \u2018property damage,\u2019 or \u2018personal and advertising injury\u2019\u201d as those terms were defined in the policy.<\/p>\n<p>Dongbu\u2019s denial triggered The AOAO to sue it seeking judgment in the amount of $85,644.30 for the attorneys\u2019 fees awarded by the arbitrator, plus prejudgment interest.<\/p>\n<p>The Dongbu policy specified that Dongbu:<\/p>\n<blockquote><p>will pay those sums that the [AOAO] becomes legally obligated to pay as damages because of \u201cbodily injury\u201d or \u201cproperty damage\u201d to which this insurance applies.<\/p><\/blockquote>\n<p>Both parties moved for <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/summary-judgment-may-be-appropriate-when-insured-fails-to-take-reasonable-measures-to-prevent-property-damage\/\" target=\"_blank\">summary judgment<\/a>. The district court ruled in favor of the AOAO. The district court\u2019s decision highlighted the fact that Dongbu had agreed to \u201cpay those sums that the [AOAO] becomes legally obligated to pay as damages because of &#8230; \u2018property damage\u2019 to which this insurance applies.\u201d The court determined that the AOAO had become legally obligated to pay the attorneys\u2019 fee award when the state court confirmed the arbitration award and that the Bradens\u2019 property damage constituted \u201cproperty damage to which this insurance applies\u201d insofar as Dongbu reimbursed the AOAO\u2014pursuant to the policy\u2014for the special damages awarded by the arbitrator.<\/p>\n<p>Although the court observed the terms \u201cdamages\u201d and \u201cbecause of\u201d were not defined in the policy, it nonetheless ruled the attorneys\u2019 fees were \u201cdamages because of\u201d the Bradens\u2019 property damage because they \u201cflowed from the Bradens\u2019 property damage\u201d and constituted \u201crestitutive payment to the Bradens.\u201d The district court stated, \u201cbut for their property damage, they would not have pursued arbitration and been awarded fees.\u201d<\/p>\n<p>The district court concluded that the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/update-be-careful-what-you-ask-for-missouri-court-of-appeals-also-upholds-arbitrators-attorneys-fee-award-based-on-aaa-construction-industry-rule-45-when-both-parties-requested-an\/\" target=\"_blank\">arbitrator\u2019s award of attorneys\u2019 fees<\/a> was covered by the policy and had to be reimbursed to the AOAO, together with prejudgment interest.<\/p>\n<p>The decision of the district court in Hawaii is not unique. In fact, other courts have similarly found that attorneys\u2019 fees that are incurred and awarded as a result of property damage (for which insurance applies) are also covered under the insurance policy at issue.<\/p>\n<p>The U.S. District Court for the Northern District of California, in <em>APL Company v. Valley Force Insurance Company<\/em>,<sup>2<\/sup> also found attorneys\u2019 fees incurred as a result of property damage were covered under a CGL policy. There, the plaintiff won a judgment, including attorneys\u2019 fees, in an underlying action against an insured of the defendant insurance company. The plaintiff brought a later lawsuit against the insurance company, seeking coverage of the underlying judgment including the attorneys\u2019 fees. There, the policy provided coverage for \u201cthose sums that the insured becomes legally obligated to pay as damages because of \u2018bodily injury,\u2019 \u2018property damage,\u2019 \u2018personal injury\u2019 or \u2018advertising injury\u2019&#8230;.\u201d<\/p>\n<p>The district court in California found that because the term \u201cdamages\u201d was not defined in the policy, that it would turn to \u201cits ordinary and popular definition\u201d: \u201cany remunerative payment made to an aggrieved party, including restitutive and punitive measures.\u201d (Internal quotations omitted.) Finding that the \u201cfee award in the underlying litigation is a \u2018remunerative payment made to an aggrieved party,\u201d the district court concluded that the \u201cattorneys\u2019 fees awarded in the underlying litigation fall plainly within the coverage of the policy.\u201d<\/p>\n<p>Similarly, in <em>American Family Mutual Insurance Company v. Spectre West Builders Corp.<\/em>,<sup>3<\/sup> the U.S. District Court for the District of Arizona found that attorneys\u2019 fees were covered by a construction company\u2019s <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/new-jersey-supreme-court-issue-important-decision-for-homeowners-and-contractors\/\" target=\"_blank\">CGL policy<\/a>. In that case, the defendant construction company built a 73-unit condominium complex in Arizona. The insurance company insured the defendant under a CGL policy. After construction was complete, the homeowners\u2019 association of the condominium complex compelled arbitration against the defendant to as a result of the construction defects. The arbitrator determined that the defendant construction company was liable for construction defects and awarded damages, attorneys\u2019 fees, and costs to the homeowners\u2019 association. The arbitration award was also confirmed in state court.<\/p>\n<p>Thereafter, the insurance company instituted a declaratory judgment action against its insured (the construction company), arguing that the policy did not cover attorneys\u2019 fees awarded by the arbitrator. The policy provided: \u201cWe will pay those sums that the insured becomes legally obligated to pay as damages because of \u2018bodily injury\u2019 or \u2018property damage\u2019 to which this insurance applies.\u201d The district court noted that the policy defined \u201c\u2018bodily injury\u2019 and \u2018property damage,\u2019 but not \u2018damages\u2019\u201d and that,<\/p>\n<blockquote><p>The issue before the Court is not whether attorneys\u2019 fees and costs can be characterized as \u2018property damage,\u2019 but whether they can be characterized as damages that [the defendant construction company] became legally obligated to pay because of property damages.<\/p><\/blockquote>\n<p>Based on the policy language, the Arizona district court ruled:<\/p>\n<blockquote><p>The Court finds that the insuring language is broad enough to encompass coverage for the Arbitrator\u2019s award of attorneys\u2019 fees and costs to the Association. The Court already has held that property damage occurred under the policies, and [the defendant construction company] became legally obligated to pay attorneys\u2019 fees and costs as a result of that property damage. The Court therefore finds that the attorney\u2019s fees and costs awarded at the arbitration are damages that fall under the insuring clause of the policies.<\/p><\/blockquote>\n<p>Ultimately, the district court concluded \u201cas a matter of law that the policies provide coverage for the Arbitrator\u2019s award of $300,000 in attorneys\u2019 fees,\u201d and ordered the insurer to reimburse the fees to the construction company.<\/p>\n<p>These cases are important because they demonstrate that when an insured under a general liability policy is found liable for property damage and is also ordered to pay the attorneys\u2019 fees and costs in connection with the property damage litigation, if the language in the insurance policy requires the insurer to pay for \u201csums that the insured becomes legally obligated to pay\u2026\u201d then the liability insurer must not only indemnify its insured for the property damage itself, but it must also indemnify the insured for the attorneys\u2019 fees that it is ordered to pay.<\/p>\n<hr \/>\n<p><span id=\"more\"><sup>1<\/sup> <em>Apartment Owners of the Moorings, Inc. v.
