Hill | <a href=\"https:\/\/constructionlawva.com\/construction-contract-provisions-that-should-pique-your-interest\/?utm_source=feedburner&amp;utm_medium=email&amp;utm_campaign=Feed%3A+ConstructionLawMusings-RichmondVa+%28Construction+Law+Musings-+Richmond%2C+VA%29\">Construction Law Musings<\/a> | July 30, 2019<\/p>\n\n\n\n<p>Construction contracts are a big part of\u00a0my legal practice\u00a0and the drumbeat here at\u00a0Construction Law Musings.\u00a0 Why?\u00a0 Because not only does your construction contract\u00a0set the expectations\u00a0and \u201crules of the game\u201d for a construction project, it will be\u00a0read strictly and literally\u00a0by the Virginia courts should there be a dispute.\u00a0 For these reasons, construction professionals need to be alert for the language in certain key clauses in a construction contract to assure that these clauses are as balanced as possible and also well understood.\u00a0 Here are my \u201cTop Five\u201d:<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>\u201c<a href=\"https:\/\/www.myconstructionexpert.com\/blog\/one-word-makes-all-the-difference-the-distinction-between-pay-if-paid-and-pay-when-paid-clauses\/\">Pay if Paid<\/a>\u201d- These clauses are almost always in the subcontracts between a general contractor and a subcontractor and are enforceable in Virginia if\u00a0drafted correctly\u00a0and under the\u00a0proper circumstances.<\/li><li><a href=\"https:\/\/www.myconstructionexpert.com\/blog\/unapproved-change-orders-lawful-mechanics-lien\/\">Change Orders<\/a>&#8211; Whether work is subject to a change order and the required payment for any changed work are often a key source of contention (read legal fees).\u00a0 A properly\u00a0drafted and followed change order provision\u00a0can help avoid much of this contention.<\/li><li><a href=\"https:\/\/www.myconstructionexpert.com\/blog\/indemnity-provision-details-matter\/\">Indemnity<\/a>&#8211; Much has been made in recent years about\u00a0indemnity provisions and their enforceability.\u00a0 All parties in the construction payment chain can and should be aware of how to best draft their indemnity provisions to make them enforceable.\u00a0 Failure to do so\u00a0can be catastrophic.<\/li><li><a href=\"https:\/\/www.myconstructionexpert.com\/blog\/dispute-resolution-in-the-usa\/\">Dispute Resolution<\/a>&#8211; This section or set of provisions of any construction contract sets the venue and type of dispute resolution required in the case of a claim or other dispute relating to the construction project.\u00a0\u00a0Do you want or need arbitration? Do you want to simply be in Court?\u00a0 Are you going to\u00a0require mediation?\u00a0 Who, if anyone, can\u00a0recover their attorney fees and expenses?\u00a0 All of these questions need to be clearly answered in the dispute resolution section of any good construction contract.<\/li><li>\u201c<a href=\"https:\/\/www.myconstructionexpert.com\/blog\/dont-just-go-flow\/\">Flow Down<\/a>\u201c-\u00a0 These clauses are the ones in most \u201cupstream\u201d contracts that seek to incorporate the provisions of a contract further up the chain to the extent they apply to the \u201cdownstream\u201d contractors work and are almost always in a commercial subcontract between a general contractor and a subcontractor.\u00a0 Essentially, if this provision is drafted correctly it will be limited to the work performed by a particular subcontractor\u2019s work.\u00a0 However, notice provisions of the prime contract as well as other key items are likely to pass down. Subcontractors must be aware of these provisions and request a copy of the prime contract to gain an understanding of what may or may not apply.<\/li><\/ol>\n\n\n\n<p>This is not an exhaustive list.\u00a0 However, you should at minimum be aware that these clauses exist.\u00a0 As always, the\u00a0advice and early counsel\u00a0of an experienced construction lawyer can be key to catching and \u201ctweaking\u201d the contract to minimize your risk as much as possible in\u00a0the inherently risky world of construction contracting.<\/p>\n\n\n\n<p>Are there any other provisions that give you heartburn?<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Christopher G.
