When It Is One For Liquidated Damages."},"content":{"rendered":"\n<p>Matthew DeVries | <a href=\"https:\/\/www.bestpracticesconstructionlaw.com\/2019\/11\/articles\/leadership\/when-does-a-claim-for-damages-not-require-notice-when-it-is-one-for-liquidated-damages\/\">Best Practices Construction Law<\/a> | November 26, 2019<\/p>\n\n\n\n<p>I just blogged about\u00a0<a href=\"https:\/\/www.myconstructionexpert.com\/blog\/make-sure-you-ask-for-what-you-want-in-construction-claims\/\">asking for what you want and the importance of complying with notice provisions<\/a>\u00a0in pursuing a construction claim.\u00a0 A court in Oklahoma just reminded me that not all claims require notice.\u00a0 Here\u2019s what I mean.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" src=\"https:\/\/www.bestpracticesconstructionlaw.com\/wp-content\/uploads\/sites\/850\/2019\/11\/notice-640x640.png\" alt=\"\" class=\"wp-image-3744\"\/><\/figure><\/div>\n\n\n\n<p>In\u00a0<em>WinCo Foods, LLC v.\u00a0 Crossland Construction Co.<\/em>, No. CIV-18-175-HE\u00a0(Nov. 21, 2019) (PDF), the U.S District Court for the Western District of Oklahoma recognized the distinction between \u201cnotice\u201d for purposes of asserting a delay claim by the contractor and \u201cnotice\u201d for purposes of assessing liquidated damages by the Owner.\u00a0 The contractor failed to attain substantial completion of the construction of a new grocery store by the contractually required deadline.\u00a0 The contractor argued that the owner failed to comply with the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/contractors-failure-to-strictly-comply-with-notice-provision-precludes-contract-damages-award\/\">notice provision<\/a> when making its claim for liquidated damages.<\/p>\n\n\n\n<p>The court held that the \u201cnotice of claims\u201d provision in the parties\u2019 contract was a separate provision from the liquidated damages provision and, thus, inapplicable to the claim for liquidated damages.&nbsp; The court reasoned:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p>As set forth above, the terms of the liquidated damages provision govern the issue of liquidated damages \u201cnotwithstanding anything to the contrary in the Contract Documents\u201d. Thus, any additional requirements set forth in the notice of claims provision, that are not included in the liquidated damages provision, would not apply. Because the liquidated damages provision does not require [the owner] to provide notice of any claim for liquidated damages and makes the entitlement to liquidated damages automatic where the circumstances warrant, [the owner] was not required to comply with that notice procedure.<\/p><\/blockquote>\n\n\n\n<p>It is important to note that the court\u2019s decision was made at the summary judgment stage\u2014first, finding that the liquidated damages provision was enforceable; and, second, finding that the owner was not bound by any notice provision in assessing liquidated damages.&nbsp; However, since there were disputed issues of material facts as to the delays on the project and the architect\u2019s bias conduct against the contract, summary judgment was not proper on either the contractor\u2019s claim for additional time or the amount of the owner\u2019s claim for liquidated damages.&nbsp; Those issues would proceed to trial.<\/p>\n\n\n\n<p>So what?&nbsp; The primary lesson that comes to mind from&nbsp;<em>WinCo&nbsp;<\/em>is one of&nbsp;<em><strong>mutuality<\/strong><\/em>, or making sure that the contract provisions that apply to one party apply equally to the other party.
