{"id":898222,"date":"2020-11-17T15:34:39","date_gmt":"2020-11-17T22:34:39","guid":{"rendered":"https:\/\/www.myconstructionexpert.com\/blog\/?p=898222"},"modified":"2020-11-17T15:34:42","modified_gmt":"2020-11-17T22:34:42","slug":"development-agreement-contract","status":"publish","type":"post","link":"https:\/\/www.myconstructionexpert.com\/blog\/development-agreement-contract\/","title":{"rendered":"A Development Agreement Is A Contract And Can Alter Map \u201cVested Rights\u201d"},"content":{"rendered":"\n<p>Kevin Brodehl | <a href=\"https:\/\/moneyanddirt.com\/2020\/10\/a-development-agreement-is-a-contract-and-can-alter-map-vested-rights\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Patton Sullivan Brodehl<\/a><\/p>\n\n\n\n<p>Most developers are familiar with the notion that under California\u2019s Subdivision Map Act, the <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/project-condition-of-approval-interpretation\/\" target=\"_blank\" rel=\"noreferrer noopener\">vesting tentative map<\/a> statutes provide a way of fixing a <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/developers-failure-plead-amount-of-damages-cross-complaint-fatal-to-direct-action\/\" target=\"_blank\" rel=\"noreferrer noopener\">developer\u2019s rights<\/a>.\u00a0 Put simply, obtaining a vesting tentative map allows a builder to rely on the regulations, conditions, and fees existing at the project planning stage even though the development might take years to complete.\u00a0 This brings some degree of certainty for the economics of a long-term project.<\/p>\n\n\n\n<p>Development agreements between a developer and a local agency can also provide certainty.&nbsp; But what happens when a development agreement is entered into&nbsp;<em>after<\/em>&nbsp;a vesting tentative map?&nbsp; Can the agreement impact the developer\u2019s \u201cvested rights\u201d under the map?<\/p>\n\n\n\n<p>A recent opinion from California\u2019s Fourth Appellate District \u2014\u00a0<em>North Murrieta Community, LLC v. City of Murrieta<\/em>\u00a0\u2014 tackles the issue.\u00a0 Developers should take note.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Facts: Developer obtains vesting tentative map, then enters into development agreement<\/h3>\n\n\n\n<p>North Murrieta Community, LLC was the master developer of a large development project in the City of Murrieta called the Golden City Project.&nbsp; In July 1999, the developer obtained approval for a&nbsp;<strong>vesting tentative map<\/strong>&nbsp;on part of the project property.&nbsp; The map locked in place fees the City could charge on the project until the vesting tentative map expired two years later.<\/p>\n\n\n\n<p>In March 2001, four months before the map would expire, the developer and City entered into a&nbsp;<strong>development agreement<\/strong>&nbsp;covering the entire project property.&nbsp; The agreement extended the term of the vesting tentative map for fifteen years and locked in place the regulations and&nbsp;<em>most<\/em>&nbsp;of the fees the City could enforce against the developer on the entire project for the same period.&nbsp; (The parties later extended the term an additional five years, through March 2021.)<\/p>\n\n\n\n<p>However, the development agreement expressly allowed the City to impose&nbsp;<em>new fees<\/em>&nbsp;to mitigate the effects of development as long as the new fees were generally applicable City-wide and designed to address project impacts not fully mitigated by fees or exactions in place when the parties entered into the development agreement.<\/p>\n\n\n\n<p>The City later enacted a new transportation fee ordinance, generally applicable to \u201call new development projects within the City\u201d and designed to mitigate the effects of development projects on transportation and traffic.<\/p>\n\n\n\n<p>The new fees were assessed against some of the project properties.&nbsp; The developer, relying on the vesting tentative map rights, protested the fees and filed a petition for writ of mandate.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Trial court: new fees permissible under the development agreement<\/h3>\n\n\n\n<p>The trial court rejected the developer\u2019s arguments, holding that the new fees were permissible under the parties\u2019 development agreement.<\/p>\n\n\n\n<p>The developer appealed.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Court of Appeal: affirmed<\/h3>\n\n\n\n<p>The Court of Appeal affirmed the trial court\u2019s judgment, holding: \u201cThe development agreement is a contract, which the trial court correctly enforced.\u201d&nbsp; The development agreement, the court held, could alter the developer\u2019s rights under the vesting tentative map.<\/p>\n\n\n\n<p>The court noted that a \u201cvesting tentative map doesn\u2019t freeze regulations and fees indefinitely.\u201d&nbsp; Instead, the statutes provide that all tentative maps expire 24 months after their initial approval.&nbsp; It was only by entering into the development agreement that the developer extended some of its map rights for the project.<\/p>\n\n\n\n<p>But the development agreement made clear that the City did not agree to extend&nbsp;<em>all<\/em>&nbsp;of the rights conveyed by the vesting tentative map.&nbsp; The parties agreed that the City could impose new mitigation fees under certain conditions, and the City later exercised its right to do just that.&nbsp; \u201cThe agreement,\u201d the court held, \u201cis binding on both the City and the developer.\u201d<\/p>\n\n\n\n<p>The court rejected the developer\u2019s argument that the vesting tentative map statutes provide a way of fixing a developer\u2019s rights that \u201coperates beyond the reach of any development agreement.\u201d&nbsp; The court observed that the developer<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p>offers no authority \u2014 and really no reason \u2014 for thinking vesting tentative maps impart a species of super rights that cannot be negotiated away.&nbsp; Nor do they offer any reason for thinking development agreements should be treated differently than other contractual agreements.<\/p><\/blockquote>\n\n\n\n<p>Noting that \u201cdevelopers are sophisticated entities,\u201d the court held the developer \u201ccan\u2019t claim the benefits of the provisions that benefit them but disclaim the provisions that don\u2019t.\u201d<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Lesson<\/h3>\n\n\n\n<p>A development agreement is an enforceable contract.&nbsp;
