Blake Hunter | <a href=\"https:\/\/www.butler.legal\/the-changing-fact-of-additional-insured-coverage\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Butler Weihmuller Katz Craig<\/a><\/p>\n\n\n\n<p>As a coverage attorney, I often find myself representing\u00a0the liability insurers of both general contractors and subcontractors.\u00a0\u00a0When representing a carrier for a\u00a0general\u00a0contractor,\u00a0one of the first questions the client\u00a0usually asks us to explore is whether its\u00a0named\u00a0insured may qualify as an\u00a0\u201c<a href=\"https:\/\/www.myconstructionexpert.com\/blog\/additional-insured-builders-risk-insurance\/\" target=\"_blank\" rel=\"noreferrer noopener\">additional insured<\/a>\u201d\u00a0on a policy issued to\u00a0one of its\u00a0subcontractor\u00a0under an\u00a0additional insured endorsement.\u00a0\u00a0Correspondingly,\u00a0when representing a carrier for a subcontractor,\u00a0one of the first\u00a0questions\u00a0the client usually asks is whether the client owes additional insured coverage to the general contractor.\u00a0\u00a0The answer to this question of whether the general contractor qualifies as an additional insured on the subcontractor\u2019s policy\u00a0may more frequently be \u201cno,\u201d in light of a recent decision\u00a0from\u00a0the\u00a0Federal District Court for the Southern District of Florida,\u00a0<em>Amerisure\u00a0Insurance Company v. Seneca Specialty\u00a0Insurance Company<\/em>,\u00a0No.\u00a020-20442,\u00a02020 WL 3317035 (S.D. Fla. June 18, 2020).\u00a0<\/p>\n\n\n\n<p>In&nbsp;<em>Amerisure<\/em>, when entering a Walmart, a family was struck by large quantities of wet cement that poured through a gap in the ceiling.&nbsp; The family sued Walmart alleging that Walmart was directly negligent for failing to maintain the store in a reasonably safe condition and failing to warn plaintiffs of the dangerous condition.&nbsp;&nbsp;<em>Id.&nbsp;&nbsp;<\/em>A final judgment was entered against Walmart.&nbsp;&nbsp;<em>Id.&nbsp;&nbsp;<\/em>Walmart and Amerisure Insurance Company (\u201cAmerisure\u201d) entered into a settlement agreement and assignment of claims wherein Amerisure agreed to pay the judgment entered against Walmart,&nbsp;and Walmart assigned its rights&nbsp;to&nbsp;Amerisure&nbsp;against both the subcontractor on the concrete project and the subcontractor\u2019s insurer, Seneca Specialty Insurance Company (\u201cSeneca\u201d).&nbsp;<\/p>\n\n\n\n<p>Amerisure sued Seneca arguing that Walmart was an additional insured under Seneca\u2019s policy,&nbsp;but&nbsp;Seneca filed a motion to dismiss arguing that it did not have a duty to defend&nbsp;Walmart.&nbsp;&nbsp;<em>Id.&nbsp;<\/em>at *3.&nbsp; Seneca\u2019s policy provided additional insured coverage to any person or organization shown in the Schedule as required by a written contract, but \u201conly with respect to liability for \u2018bodily injury\u2019 \u2026 caused, in whole or in part by\u201d the subcontractor\u2019s acts or omissions.&nbsp;&nbsp;<em>Id.<\/em>&nbsp;at *1.&nbsp;&nbsp;<\/p>\n\n\n\n<p>Critically, the court held that the complaint did not allege vicariously&nbsp;liability against Walmart,&nbsp;yet&nbsp;the additional insured endorsement only provided coverage&nbsp;to Walmart as an additional insured for its vicarious liability for actions or inactions of the concrete subcontractor.&nbsp;&nbsp;<em>Id.<\/em>&nbsp;at *5.&nbsp; The court then analyzed&nbsp;<em>Garcia<\/em>&nbsp;<em>v. Federal Insurance Co.<\/em>, 969 So. 2d 288 (Fla. 2007),&nbsp;explaining:&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table><tbody><tr><td>The Supreme Court of Florida found that the phrase \u201cbecause of\u201d in the additional-insured endorsement was \u201crelevant\u201d and that \u201cthere is a more circumscribed meaning to \u2018because of\u2019 than merely being a sequential link in the chain of events\u2026.\u00a0 The phrase appears to include persons or organizations held in\u202f<em>by way of vicarious liability<\/em>\u202ffor derelictions of [the named insured].\u201d\u00a0\u00a0<em>Id.\u202f<\/em>at 293 (emphasis added) (quoting\u202f<em>Long Island Lighting Co. v. Hartford Accident &amp; Indem. Co.<\/em>, 350 N.Y.S. 2d 967, 972 (N.Y. Gen. Term. 1973)). Thus, the Florida Supreme Court reasoned that \u201c[t]he\u202f<em>omission<\/em>\u202f of the words \u2018but only\u2019 in [the insurer\u2019s]\u00a0policy\u202f<em>[did] not materially change\u202f<\/em>the\u202f<em>limitation of the additional insured provision to<\/em>\u202finstances of\u202f<em>vicarious<\/em>\u202fliability.\u201d\u00a0\u00a0<em>Id.\u00a0\u00a0<\/em>(emphasis added).\u00a0 The Florida Supreme Court further explained that \u201cthe presence of the words \u2018because of\u2019 in [the insurer\u2019s] policy require[d] that an additional insured\u2019s liability be \u2018<em>caused by<\/em>\u2019 the\u202f<em>acts or omissions of the named insured<\/em>.\u201d\u202f\u00a0<em>Id. \u202f<\/em>(emphasis added).\u00a0 In short, the Florida Supreme Court held that the insurer\u2019s policy did not cover the additional insured\u2019s \u201cindependent acts of negligence\u201d and that \u201c[b]ecause\u00a0the accident victim\u2019s suit against [the additional insured] sought recovery only for her direct negligence, and did not allege any liability based on acts or omissions of [the named insured], [the additional insured] [was] not entitled to coverage.\u201d\u202f<em>Id.\u202f<\/em>at 294.<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p><em>Id.<\/em>\u00a0 The court further explained that federal courts applying Florida law\u00a0to\u00a0additional insured endorsements similar to the one in Seneca\u2019s policy consistently hold\u00a0that\u00a0the endorsements\u00a0do\u00a0not provide coverage where the underlying lawsuit\u00a0fails\u00a0to\u00a0allege that the additional insured\u00a0is\u00a0vicariously liable for the negligence of the named insured.\u00a0\u00a0<em>Id.<\/em>\u00a0at *6.\u00a0\u00a0<em>See also,<\/em>\u00a0<em>King Cole Condo.\u00a0Ass\u2019n, Inc. v. Mid-Continent Cas. Co.<\/em>, 21\u00a0F.\u00a0Supp. 3d 1296, 1299 (S.D. Fla. 2014)\u00a0(holding that\u00a0no coverage existed\u00a0because the underlying complaint only alleged direct negligence against the additional insured and the additional insured endorsement only provided coverage for injuries caused, in whole or in part, by the named insured);\u00a0<em>United Rentals, Inc. v. Mid-Continent Cas. Co.<\/em>, 843 F. Supp. 2d 1309, 1312 n.6 (S.D. Fla. 2012)\u00a0(same);\u00a0<em>Mid-Continent Cas. Co. v. Constr.\u00a0Servs. &amp; Consultants, Inc.<\/em>,\u00a0No. 06-CV-80922,\u00a02008 WL 896221, *3\u00a0(S.D. Fla. March 31, 2008) (not reported) (same).\u00a0<\/p>\n\n\n\n<p>Coverage attorneys for insurers&nbsp;of&nbsp;general contractors usually rely on&nbsp;<em>Mid-Continent Casualty Co. v. Royal Crane, LLC<\/em>,&nbsp;169&nbsp;So.&nbsp;3d 174, 179-83 (Fla. 4th DCA 2015),&nbsp;when seeking additional insured coverage.&nbsp; The case&nbsp;held that the phrase, \u201ccaused, in whole or in part by\u201d the named insured should not be construed narrowly to only provide coverage for vicarious liability of the named insured.&nbsp; Amerisure was no exception.&nbsp; However, the court&nbsp;distinguished&nbsp;<em>Royal Crane<\/em>, explaining:&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table><tbody><tr><td>Although\u00a0<em>Royal Crane\u202f\u00a0<\/em>provides some support for Amerisure\u2019s argument, that case is inapposite here.\u00a0 Not only did\u202f<em>Royal Crane<\/em>\u202f openly apply a \u201crelaxed standard,\u201d\u00a0<em>Id.\u202f<\/em>at 184, but also, it did not address the Florida Supreme Court\u2019s ruling in\u202f<em>Garcia<\/em>,\u202f<em>see generally id.<\/em>\u00a0\u2013 which might be because\u202f<em>Royal\u202fCrane<\/em>\u202f\u201c did not involve an additional insured endorsement, but rather only found that there was no \u2018insured contract\u2019 within the meaning of the policy\u201d and thus there was no duty to indemnify under the policy\u2019s indemnification provision.\u00a0\u00a0<em>See\u202fCmty. Asphalt Corp.<\/em>, 2017 WL 4712199, at *9\u202f(declining to follow\u202f<em>Royal Crane<\/em>).\u00a0 In any event,\u202f<em>Royal Crane\u202f\u00a0<\/em>runs against the Florida Supreme Court\u2019s ruling in\u202f<em>Garcia\u202f\u00a0<\/em>and the weight of authority in this District.\u00a0<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p><em>Id.<\/em>&nbsp;at *8.&nbsp;<\/p>\n\n\n\n<p>What does this all mean?&nbsp;&nbsp;This was a good result for the defense.&nbsp; Additionally, when evaluating additional insured coverage, coverage counsel needs to pay specific attention to the causes of action alleged in the underlying complaint and the provisions of the additional insured endorsements.&nbsp;&nbsp;&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>J.
