{"id":900575,"date":"2022-11-10T15:47:04","date_gmt":"2022-11-10T22:47:04","guid":{"rendered":"https:\/\/www.myconstructionexpert.com\/blog\/?p=900575"},"modified":"2022-11-10T15:47:09","modified_gmt":"2022-11-10T22:47:09","slug":"uniform-commercial-code-construction-contract","status":"publish","type":"post","link":"https:\/\/www.myconstructionexpert.com\/blog\/uniform-commercial-code-construction-contract\/","title":{"rendered":"Construction Contracts and The Uniform Commercial Code: When Does it Apply and Understanding the Pre-Dominant Factor Test"},"content":{"rendered":"\n<p>Keith Sparks | <a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Ahlers Cressman &amp; Sleight<\/a><\/p>\n\n\n\n<p>The Uniform Commercial Code (\u201cUCC\u201d) replaces the common law in many commercial transactions, providing provisions and a framework governing the conduct of business.&nbsp; The UCC attempts to develop uniformity among state laws on commercial matters as many of these contracts involve parties from different states.&nbsp; The UCC has been adopted in almost all states, including Washington, and substantially mirror each other throughout the country.&nbsp;<\/p>\n\n\n\n<p>The question that is most commonly presented, in the Construction law context, is when does the UCC apply and control?&nbsp;<\/p>\n\n\n\n<p>The UCC is inapplicable for most construction contracts as the UCC does not cover contracts which are predominantly for labor or services.&nbsp; Therefore, common law still controls in a majority of construction contracts.&nbsp; However, Article 2 of the UCC applies to any transaction involving \u201cgoods\u201d which is defined as \u201call things (including specially manufactured goods) which are movable at the time of identification to the contract. . . .\u201d<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn1\">[1]<\/a>&nbsp; Absent explicit agreement in the contract, identification occurs \u201cwhen the contract is made if it is for the sale of goods already existing and identified\u201d or, if the contract is for the sale of future goods, \u201cwhen goods are shipped, marked, or otherwise designated by the seller as goods to which the contract refers.\u201d<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn2\">[2]<\/a>&nbsp;<\/p>\n\n\n\n<p>As a result, construction contracts that are most likely to be governed by the UCC are those involving suppliers and manufacturers.&nbsp; The difficult question, and most commonly presented for legal analysis, is when a construction contract is a hybrid or a \u201cmixed\u201d contract, i.e., a combination between the sale of materials or equipment and also for services related to those items.&nbsp; Construction contracts with subcontractors may fall into this category as they typically must \u201cfurnish and install\u201d whatever equipment or material they sell.&nbsp; Under this scenario, is the subcontract, for the sale of goods or will it be considered a services contract?&nbsp;<\/p>\n\n\n\n<p>Washington adopted the majority rule when analyzing this issue, the applicable inquiry is the \u201cpredominant factor\u201d test.<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn3\">[3]<\/a>&nbsp; As the name implies, if the test reveals that the sale of goods dominates, Article 2 governs; if the sale of services dominates, Article 2 is inapplicable.<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn4\">[4]<\/a><\/p>\n\n\n\n<p>In&nbsp;<em>Tacoma Athletic Club, Inc. v. Indoor Comfort Sys., Inc<\/em>., the Court of Appeals determined installation of a dehumidification system was a goods contract, with the installation and labor as incidental.<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn5\">[5]<\/a>&nbsp; In making this determination, it affirmed that the UCC governed the contract.&nbsp; The&nbsp;<em>Tacoma<\/em>&nbsp;<em>Athletic<\/em>&nbsp;Court used the often-cited formula for the predominant factor test from the Eight Circuit:<\/p>\n\n\n\n<p>\u201c\u2018. . .whether their predominant factor, their thrust, their purpose, reasonably stated, is the rendition of service, with goods incidentally involved (e. g., contract with artist for painting) or is a transaction of sale, with labor incidentally involved (e.g., installation of a water heater in a bathroom).&#8217;\u201d<a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftn6\">[6]<\/a><\/p>\n\n\n\n<p>Several cases across the country have addressed whether the UCC applies to a construction-related contract. Even under the predominant factor rule, determining UCC applicability can prove difficult.&nbsp; Each case will be very fact specific and potentially open for analysis.&nbsp;<\/p>\n\n\n\n<p>There are a number of significant differences between a contract governed by the UCC and a construction contract governed by common law. Many UCC provisions are \u201cgap filler\u201d provisions which provide standardized default terms to be supplemented into a contract when necessary.&nbsp; As a result, the UCC allows contracts to become enforceable even without agreement on all significant terms.&nbsp;<\/p>\n\n\n\n<p>The application of the UCC to a construction-related contract can have significant impacts. &nbsp;In particular, its statute of limitations is much shorter; it provides those \u201cgap filler\u201d provisions to encourage contract formation; it provides an implied warranty of merchantability; an implied warranty of fitness for a particular purpose; and modifies rules for breaches of contract and notification procedures.&nbsp; These are just some of the areas in which the UCC modifies the common law approach in construction contracts.&nbsp; It is important for any contractor or subcontractor to be familiar with the UCC, its applicability, and its most important provisions.&nbsp;<\/p>\n\n\n\n<hr class=\"wp-block-separator\"\/>\n\n\n\n<p><a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftnref1\">[1]<\/a>&nbsp;<em>See<\/em>&nbsp;RCW 62A.2 and 62A.2-105<\/p>\n\n\n\n<p><a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftnref2\">[2]<\/a>&nbsp;<em>See&nbsp;<\/em>RCW 62A.2-502<\/p>\n\n\n\n<p><a href=\"https:\/\/www.acslawyers.com\/contracting\/construction-contracts-and-the-uniform-commercial-code-when-does-it-apply-and-understanding-the-pre-dominant-factor-test\/#_ftnref3\">[3]<\/a>&nbsp;<em>See Tacoma Athletic Club, Inc. v.
