{"id":901197,"date":"2023-05-23T16:58:00","date_gmt":"2023-05-23T22:58:00","guid":{"rendered":"https:\/\/www.myconstructionexpert.com\/blog\/?p=901197"},"modified":"2023-05-23T16:58:02","modified_gmt":"2023-05-23T22:58:02","slug":"indemnity-obligations-against-individuals","status":"publish","type":"post","link":"https:\/\/www.myconstructionexpert.com\/blog\/indemnity-obligations-against-individuals\/","title":{"rendered":"Construction Litigation\u00a0Roundup: \u201c\u2026 and the Kitchen Sink!\u201d"},"content":{"rendered":"\n<p>Daniel Lund III | <a href=\"https:\/\/www.lexology.com\/library\/detail.aspx?g=e777d620-e5f6-4bdf-8f2a-ca667e0609e7&amp;utm_source=Lexology+Daily+Newsfeed&amp;utm_medium=HTML+email+-+Body+-+General+section&amp;utm_campaign=Lexology+subscriber+daily+feed&amp;utm_content=Lexology+Daily+Newsfeed+2023-05-19&amp;utm_term=\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Phelps Dunbar<\/a><\/p>\n\n\n\n<p>\u2026 and the kitchen sink!<\/p>\n\n\n\n<p>In a case that is a roadmap to recovery for a surety against individual indemnitors, the individual indemnitors resisted their <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/california-design-professionals-indemnity-obligations-limited-2018-contracts\/\" target=\"_blank\" rel=\"noreferrer noopener\">indemnity obligations<\/a> asserting \u2013 unsuccessfully \u2013 every possible defense imaginable.<\/p>\n\n\n\n<p>The indemnitors had all signed an indemnity agreement with the surety, which wrote a series of bonds for a project in Missouri, naming the co-indemnitor construction company as principal on the bonds. The project ended up in a dispute between the contractor and a subcontractor, which concluded with an arbitration award of $7.8 million in favor of the subcontractor on just some of the disputed claims. At that point, the construction company sought bankruptcy protection, leaving the surety to cover the loss. The surety eventually paid in excess of $23,000,000.<\/p>\n\n\n\n<p>Opposing the surety\u2019s motion for summary judgment, the individual indemnitors urged:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Lack of consideration: the ideas that (i) the surety did not rely upon the financial wherewithal of the indemnitors when issuing the bonds, but only the strength of the contractor, and (ii) the indemnitors received no benefit from the bonds. The court disposed of the second item easily, and, although the court had little information on the first item (\u201cspeculation [by the indemnitors regarding consideration] does not create a factual dispute\u201d), the court quickly dispatched with that argument. The court did so noting that \u201cparol\u201d evidence would not be allowed to counter a \u201crecitation of consideration\u201d in the indemnity agreement.<\/li>\n\n\n\n<li>Holding the individual indemnitors liable would violate principles of equity: according to the court, \u201c[E]quitable relief cannot be granted where the rights of the parties are governed by a valid contract.\u201d<\/li>\n\n\n\n<li>The amount of damages sought was excessive: the individual indemnitors urged the court to reserve judgment until the contractor\u2019s bankruptcy resolved in any monies therefrom were distributed. The court responded: \u201cAny other recovery by [surety] is speculation at this point. Nothing currently precludes entry of summary judgment in favor of [surety].\u201d<\/li>\n\n\n\n<li>Ambiguity concerning the individual liability of indemnitors who signed on behalf of the construction company: the court was not swayed, as the indemnity agreement clearly had the natural persons signing \u201cIndividually\u201d (it was not clear from the court\u2019s discussion whether the indemnitors actually signed twice \u2013 once for the company and once individually \u2013 although the court pointed out that signing twice is \u201cthe preferred method\u201d of establishing individual indemnity obligations).<\/li>\n\n\n\n<li>Holding the individual indemnitors liable would be unconscionable: this was the individual indemnitors\u2019 shot at the breadth of the indemnity agreement, which allows the surety recovery rights simply for making disbursements \u201c\u2018in good faith\u2019 under a \u2018belief\u2019 that it was liable\u2026,\u201d as well as complaining about the indemnitors\u2019 lack of bargaining power when the contract was confected. Here, the court found no evidence of disparate bargaining power, and relied on prior jurisprudence holding that indemnity obligations as such \u2013 \u201cwhile strict\u201d \u2013 are \u201ccommon\u201d in the surety context.<\/li>\n<\/ul>\n\n\n\n<p>Summary judgment in excess of $25,000,000 was granted in favor of the surety against the indemnitors.<\/p>\n\n\n\n<p><a href=\"https:\/\/tinyurl.com\/mrymhj5u\" target=\"_blank\" rel=\"noreferrer noopener nofollow\"><em>Fid. &amp; Deposit Co. v.
