Architects and Engineers are sometimes pleasantly surprised to find out that they, also, can terminate<\/a> those crazy, hard to deal with Owners\u2014at least, if the Owners fail to make payments as required.<\/p>\n\n\n\n

\"breaking<\/p>\n\n\n\n

\u201cIt\u2019s not you, it\u2019s me!\u201d (It\u2019s you)<\/p>\n\n\n\n

You can also terminate for Owner delays to the work, or where you think the contractor should be fired but the Owner disagrees.   Again, the standard 7 days written notice is required.  (See B101 \u00a79.4).<\/p>\n\n\n\n

Do you have to walk off the job if they are not paying you?  No\u2014you could exercise the smaller remedy of suspending ser<\/strong>vices<\/strong> (with 7 days written notice) until payments are caught up or the contract performance is corrected by the Owner.   (See B101 \u00a79.1).   Suspension rather than outright termination is a softer approach when working with an owner you do not want to burn (too many) bridges with.<\/p>\n\n\n\n

Can the Owner use your plans and specs?<\/u><\/strong><\/p>\n\n\n\n

The\u00a0default AIA design professional contract\u00a0provides that the drawings and specifications are the copyrighted work of the DP (B101 \u00a77.2) and that the Owner is given the limited, nonexclusive license to use them only for the Project.\u00a0 (B101 \u00a77.3).\u00a0 However, all bets are off if you quit because they are not paying you.\u00a0 [Under ConsensusDocs, copyright issues are essentially the same].<\/p>\n\n\n\n

 In a \u201crightful termination\u201d, the owner\u2019s license to use your work terminates.<\/strong><\/p>\n\n\n\n

So, you should remind the Owner\u2013 in writing, of course\u2013 that they are forbidden from using your plans.\u00a0 Now, you can negotiate a release of the documents in exchange for a release of liability or\u00a0indemnity\u00a0agreement.\u00a0 The AIA provides for a \u201clicensing fee\u201d under B101 \u00a711.9.<\/p>\n\n\n\n

The right to your designs is a critical one\u2014protect it, and use it to protect yourself.\u00a0\u00a0Consider both the licensing fee and an indemnity agreement to protect you in the case where you are leaving a project that is still being constructed.<\/strong><\/p>\n\n\n\n
