{"id":903882,"date":"2025-01-29T15:41:25","date_gmt":"2025-01-29T22:41:25","guid":{"rendered":"https:\/\/www.myconstructionexpert.com\/blog\/?p=903882"},"modified":"2025-01-29T15:41:28","modified_gmt":"2025-01-29T22:41:28","slug":"geotechnical-inspectors-liable-to-non-contracting-parties","status":"publish","type":"post","link":"https:\/\/www.myconstructionexpert.com\/blog\/geotechnical-inspectors-liable-to-non-contracting-parties\/","title":{"rendered":"Uncharted Territory: Are Geotechnical Inspectors Liable to Non-Contracting Parties \u2013 Including Property Owners?"},"content":{"rendered":"\n<p>Blake Robinson | <a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Davis Wright Tremaine<\/a><\/p>\n\n\n\n<p>Historically in California, professional negligence cases were limited to parties who had contracted with each other.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn1\">[1]<\/a>&nbsp;The theory was that if a professional didn&#8217;t have a contract with the plaintiff, then the professional did not owe the plaintiff a duty of care and could not be liable in negligence. That historical practice has &#8220;been greatly liberalized.&#8221;<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn2\">[2]<\/a>&nbsp;A recent appellate case provides another example of this.<\/p>\n\n\n\n<p>In\u00a0<em>Lynch v. Peter &amp; Associates, Engineers, Geologists, Surveyors, Inc.<\/em>, a homeowner hired a general contractor to perform improvements and repairs to her home.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn3\">[3]<\/a>\u00a0The general contractor then hired a geotechnical firm to perform a <a href=\"https:\/\/www.myconstructionexpert.com\/blog\/design-defect-geotechnical-reports\/\">geotechnical inspection<\/a> of a footing trench for $360.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn4\">[4]<\/a>\u00a0The inspection contract: (1) did not mention the homeowner, (2) had broad liability disclaimers, and (3) purported to cap the inspector&#8217;s liability at twice the contract price (i.e., $720).<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn5\">[5]<\/a>\u00a0The inspector performed the inspection and issued a one-page memo, addressed to the general contractor and homeowner, concluding that the footing trench was acceptable for its intended use.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn6\">[6]<\/a>\u00a0Unfortunately, that proved inaccurate and the footing collapsed, causing significant damage to the house.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn7\">[7]<\/a><\/p>\n\n\n\n<p>The homeowner sued the inspector for professional negligence.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn8\">[8]<\/a>&nbsp;The trial court granted the inspector&#8217;s motion for summary judgment on the ground that it did not owe the homeowner a duty of care, as its contract was with the general contractor.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn9\">[9]<\/a>&nbsp;The appellate court reversed.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn10\">[10]<\/a>&nbsp;The court cited six factors that must be balanced &#8220;in determining whether a duty of care exists outside of contractual privity[:] [1] the extent to which the transaction was intended to affect the plaintiff, [2] the foreseeability of harm to him, [3] the degree of certainty that the plaintiff suffered injury, [4] the closeness of the connection between the defendant&#8217;s conduct and the injury suffered, [5] the moral blame attached to the defendant&#8217;s conduct, and [6] the policy of preventing future harm.&#8221;<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn11\">[11]<\/a>&nbsp;The court concluded that all six factors supported finding a duty of care.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn12\">[12]<\/a>&nbsp;Among other things, the inspector&#8217;s work was clearly done to benefit the homeowner and it was foreseeable that a poorly performed job would affect the homeowner&#8217;s property, that there was evidence that the inspection was not done correctly, and that finding liability would promote the public policy of preventing harm.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn13\">[13]<\/a><\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Takeaway<\/h4>\n\n\n\n<p>Those providing construction-related services to general contractors in California should assume that, if the project goes awry, the property owner will be able to assert a claim for professional negligence even though they did not contract with the owner\u2014at least in the residential context.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn14\">[14]<\/a>&nbsp;They should also not count on liability disclaimers or limitations in their contract protecting them from the owner&#8217;s negligence claim.<a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftn15\">[15]<\/a><\/p>\n\n\n\n<p>For those navigating these complex legal waters, expert guidance is invaluable.\u00a0<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref1\">[1]<\/a>&nbsp;This is also true in other states, but this article focuses on California.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref2\">[2]<\/a>&nbsp;<em>Biakanja v. Irving<\/em>, 49 Cal.2d 647, 649, 320 P.2d at 16 (1958).<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref3\">[3]<\/a>&nbsp;104 Cal.App.5th 1181, 1186, 325 Cal.Rptr.3d 265 (2024).<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref4\">[4]<\/a>&nbsp;<em>Id.<\/em>&nbsp;at 1186-87.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref5\">[5]<\/a>&nbsp;<em>Id.<\/em>&nbsp;at 1187.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref6\">[6]<\/a>&nbsp;<em>Id.<\/em><\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref7\">[7]<\/a>&nbsp;<em>Id.<\/em><\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref8\">[8]<\/a>&nbsp;<em>Id.<\/em><\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref9\">[9]<\/a>&nbsp;<em>Id.<\/em>&nbsp;at 1188.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref10\">[10]<\/a>&nbsp;<em>Id.<\/em><\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref11\">[11]<\/a>&nbsp;<em>Id.<\/em>&nbsp;at 1190 (internal quotation marks omitted).<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref12\">[12]<\/a>&nbsp;<em>Id.&nbsp;<\/em>at 1194.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref13\">[13]<\/a>&nbsp;<em>Id.<\/em>&nbsp;at 1194-95.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref14\">[14]<\/a>&nbsp;The&nbsp;<em>Lynch&nbsp;<\/em>court highlighted that the work was on a residential project, and that the California Supreme Court has indicated it &#8220;is far more likely to sanction a professional duty of care in residential construction.&#8221;&nbsp;<em>Id.<\/em>&nbsp;at 1193-94. It is possible that a court would be less willing to disregard a lack of privity in a commercial project.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.dwt.com\/blogs\/government-contracts-insider\/2025\/01\/inspector-negligence-claims-california-contracting#_ftnref15\">[15]<\/a>\u00a0As noted, the inspector&#8217;s contract in<em>\u00a0Lynch<\/em>\u00a0had broad disclaimers and a limitation of liability provision.
