Rather, according to the Fifth Circuit\u2019s decision in\u00a0<em>U.S. Trinity Energy Services v. Southwest Directional Drilling<\/em>, 2025 WL 1218096 (Apr. 28, 2025, No. 24-10833), the grounds for challenging an arbitration award are limited to those grounds enumerated by Congress in the Federal Arbitration Act. Those include:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>where the award was procured by\u00a0<em>corruption<\/em>,\u00a0<em>fraud<\/em>, or\u00a0<em>undue means<\/em>;<\/li>\n\n\n\n<li>where there was\u00a0<em>evident partiality or corruption<\/em>\u00a0in the arbitrators, or either of them;<\/li>\n\n\n\n<li>where the arbitrators were guilty of\u00a0<em>misconduct in refusing to postpone the hearing<\/em>, upon sufficient cause shown, or in\u00a0<em>refusing to hear evidence<\/em>\u00a0pertinent and material to the controversy; or of any other misbehavior by which the rights of any party have been prejudiced; or<\/li>\n\n\n\n<li>where the arbitrators\u00a0<em>exceeded their powers<\/em>, or so imperfectly executed them that a mutual, final, and definite award upon the subject matter submitted was not made.<\/li>\n<\/ol>\n\n\n\n<p>9 U.S.C. \u00a7 10.&nbsp;<\/p>\n\n\n\n<p>Manifest disregard of the law, which is not included among the grounds for vacatur in the FAA, requires a party to demonstrate the arbitrator correctly stated or understood a proposition of law but then ignored it. Courts have historically been receptive to this argument and have recognized it as an additional, limited basis to set aside erroneous arbitration awards if none of the above-listed FAA grounds applied. This judge-made doctrine opened the door for losing parties to argue that an arbitrator\u2019s decision should be set aside for ignoring the law in favor of the arbitrator\u2019s \u201cown brand of industrial justice.\u201d &nbsp;<\/p>\n\n\n\n<p>In&nbsp;<em>U.S. Trinity Energy Services<\/em>, the Fifth Circuit held that \u201cmanifest disregard of the law\u201d is not a valid basis for vacatur and could not be used as \u201ca backdoor for a party to seek judicial review of the arbitrator\u2019s interpretations.\u201d The Fifth Circuit also explained that the fourth statutory basis \u2013 where the arbitrators&nbsp;<em>exceed their power<\/em>&nbsp;\u2013 does not include \u201cmanifest disregard of the law\u201d:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>Grafting \u201cmanifest disregard of the law\u201d as a basis for a losing party at arbitration to prevail under \u00a7 10(a)(4) would risk tension with&nbsp;<em>Hall<\/em>&nbsp;<em>Street<\/em>\u2014and would run headlong into&nbsp;<em>Oxford Health<strong>\u2014<\/strong><\/em>by forcing us to conduct a less deferential review of a panel\u2019s award than the FAA contemplates. Indeed, adopting Trinity Energy\u2019s reading essentially would rewrite the question a judge must ask from \u201cwhether the arbitrators construed the contract at all\u201d to \u201cwhether they construed it correctly.\u201d<\/p>\n\n\n\n<p>\u2026<\/p>\n\n\n\n<p>Like our court has held before, \u201cthe statutory grounds are the exclusive means for vacatur under the FAA.\u201d&nbsp;<em>Jones<\/em>, 991 F.3d at 615 (quoting&nbsp;<em>Citigroup<\/em>, 562 F.3d at 355);&nbsp;<em>see Dream Med. Grp., L.L.C., Old South Trading<\/em>&nbsp;<em>Co., L.L.C.<\/em>, No. 22-20286, 2023 WL 2366982, at *2 (5th Cir. Mar. 6, 2023) (per curiam) (\u201cThese limited circumstances do not include vacating an arbitration award based upon the merits of the claims that were heard by arbitrators.\u201d). The text Congress enacted means what it says throughout \u00a7 10(a), and judicial reconfiguration of \u00a7 10(a)(4) would betray congressional intent.&nbsp;<em>See Dream Med. Grp.<\/em>, 2023 WL 2366982, at *3 (appellant\u2019s \u201c\u00a7 10(a)(4) arguments amount to an invitation for us to reassess the merits of the Panel\u2019s decision, which does not fall under the limited text of \u00a7 10(a)(4) or support vacatur\u201d). In short, we cannot substitute a court panel\u2019s judgment in place of an arbitration panel\u2019s decision by recognizing \u201cmanifest disregard of the law\u201d as a basis for vacatur embedded within \u00a7 10(a)(4).<\/p>\n<\/blockquote>\n\n\n\n<p>The&nbsp;<em>U.S. Trinity Energy Services<\/em>&nbsp;case involved a subcontract for construction of a natural gas pipeline.&nbsp;The arbitrators awarded the drilling subcontractor over $1.6 million in standby costs caused by COVID-19 and other delays.&nbsp;The prime contractor challenged the award claiming that it was inconsistent with certain provisions of the subcontract.&nbsp;The district court rejected that argument, and the Fifth Circuit affirmed.&nbsp;The arbitrators had considered the evidence, recited the relevant subcontract provisions, and considered their effects.&nbsp;The prime contractor failed to show that the arbitrators exceeded their power \u201cby disregarding the subcontract entirely.\u201d&nbsp;As such, the Fifth Circuit held that the arbitrators\u2019 decision must stand, \u201chowever good, bad, or ugly.\u201d<\/p>\n\n\n\n<p>A full copy of the court\u2019s decision is located\u00a0<a href=\"https:\/\/www.buildsmartbradley.com\/wp-content\/uploads\/sites\/34\/2025\/05\/24-10833-CV0.pdf\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">here<\/a>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<p><strong>When one of your cases is in need of a construction expert, estimates, insurance appraisal or umpire services in defect or insurance disputes &#8211; please call Advise &amp; Consult, Inc. at 888.684.8305, or email <a href=\"mailto:experts@adviseandconsult.net\">experts@adviseandconsult.net<\/a>.<\/strong><\/p>\n\n\n\n<p>Republished with permission.
