For example, in\u00a0<em>Size Appeal of Winergy LLC<\/em>,SBA No. VSBC-445-P (2025), OHA found that the subcontractor was not ostensible because the small business prime retained meaningful management responsibilities, employed key personnel, and would perform significant portions of the work. Moreover, in\u00a0<em>Size Appeal of Bowhead Enterprises, Science, and Technology<\/em>, SBA No. SIZ-6352 (2025),\u00a0<a href=\"https:\/\/www.buildsmartbradley.com\/2025\/06\/sba-oha-compliance-with-limitations-on-subcontracting-can-rebut-ostensible-subcontractor-affiliation\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">OHA held that the small business prime contractor demonstrated compliance with the SBA\u2019s limitation on subcontracting requirements and that this served as a defense against the ostensible subcontractor affiliation allegations<\/a>. Conversely, in\u00a0<em>Size Appeal of Veteran Elevated Solutions, LLC<\/em>, SBA No. SIZ-6350 (2025), OHA found that the protested company was not performing the primary and vital requirements of the contract and thus the prime contractor and the large business subcontractor should be deemed to be affiliated under the ostensible subcontractor rule.\u00a0<\/p>\n\n\n\n<p>These decisions illustrate that OHA closely scrutinizes division of labor, control, and experience \u2014 and that even subtle proposal language can tip the balance.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Practical Takeaways for Contractors<\/h4>\n\n\n\n<p>To minimize ostensible subcontractor risk, government contractors should:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Define clear performance responsibilities in both the proposal and teaming agreement.<\/li>\n\n\n\n<li>Retain key management and technical control at the prime level.<\/li>\n\n\n\n<li>Avoid excessive reliance on a large subcontractor\u2019s past performance, facilities, or personnel.<\/li>\n\n\n\n<li>Document independent capabilities of the prime contractor, particularly in performing primary and vital contract functions.<\/li>\n<\/ul>\n\n\n\n<p>In short, small business primes should ensure that their teaming relationships reinforce \u2014 rather than undermine \u2014 their independent ability to perform the contract.<\/p>\n\n\n\n<p>Conversely, if your small business has lost a contract award to a company that you suspect violates the ostensible contractor rule, then&nbsp;<a href=\"https:\/\/www.buildsmartbradley.com\/2025\/05\/understanding-small-business-size-and-status-protests-and-appeals-a-guide-for-government-contractors\/\" target=\"_blank\" rel=\"noreferrer noopener\">your company should consider filing a size protest on that issue<\/a>.&nbsp;<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>Conclusion<\/strong><\/h4>\n\n\n\n<p>The ostensible subcontractor rule underscores the SBA\u2019s broader policy objective: ensuring that small business set-asides are performed by truly independent small businesses.
