Some argue these documents preserve the integrity of appraisals and reduce disputes. Others believe they invite post-appraisal litigation. A recent federal court decision offers an important reminder that, regardless of intent,\u00a0<strong>details and execution matter<\/strong>.<\/p>\n\n\n\n<p>In&nbsp;<strong><em>Aksharbrahma Corp. d\/b\/a American Motor Inn v. Nautilus Insurance Company<\/em><\/strong>, a federal court reinforced the limits of appraisal protocols and the binding nature of appraisal awards under standard policy language. The court ruled that a jointly drafted \u201cLoss Appraisal Protocol\u201d never became effective and therefore could not alter or expand the insurer\u2019s contractual obligations.<\/p>\n\n\n\n<p><strong>The Background<\/strong><\/p>\n\n\n\n<p>The dispute arose after Aksharbrahma Corp., owner of the American Motor Inn, sustained property damage from a 2020 thunderstorm and a 2021 ice dam event. While Nautilus Insurance Company issued multiple payments, the parties disagreed over the scope and amount of covered loss. That disagreement ultimately led them to appraisal.<\/p>\n\n\n\n<p>As part of the process, the parties drafted and signed a document titled&nbsp;<strong>\u201cStipulation Regarding Loss Appraisal Protocol.\u201d<\/strong>&nbsp;The Protocol was intended to tightly control how the appraisal panel evaluated the claim. It included detailed questions for each roof section and interior room, defined replacement cost and actual cash value concepts, and even incorporated a diagram identifying seven separate roof areas.<\/p>\n\n\n\n<p><strong>The Missing Signature That Changed Everything<\/strong><\/p>\n\n\n\n<p>Crucially, the Protocol stated it would \u201cbecome effective upon execution by [the policyholder], [the insurer], and the parties\u2019 respective appraisers.\u201d While the policyholder, the insurer, and the policyholder\u2019s appraiser signed the document, the insurer\u2019s appraiser refused\u2014taking the position that the Protocol was outside the scope and norm of a traditional appraisal.<\/p>\n\n\n\n<p>That refusal proved decisive.<\/p>\n\n\n\n<p>The court found that because the condition precedent\u2014execution by all required parties\u2014was never satisfied, the Protocol never took effect. The court rejected that argument outright.<\/p>\n\n\n\n<p>Because the Protocol never became effective, the appraisers were under no obligation to follow it. The court also noted that the appraisal award expressly stated that all roofs were considered and that any roof not specifically listed did not sustain recoverable damage.<\/p>\n\n\n\n<p>Consistent with long-standing Illinois precedent, the court emphasized that appraisal awards are entitled to strong deference and may only be overturned for a \u201cgross mistake on the face of the award.\u201d No such mistake existed here.<\/p>\n\n\n\n<p><strong>The Takeaway<\/strong><\/p>\n\n\n\n<p>The court concluded that the appraisal award was binding under the policy\u2019s appraisal clause and that Nautilus had satisfied its contractual obligations by paying the awarded amount, less prior payments and the deductible. As a result, the policyholder\u2019s breach of contract and bad faith claims\u2014including a statutory claim for vexatious and unreasonable delay\u2014were dismissed.<\/p>\n\n\n\n<p>This decision serves as a clear warning:&nbsp;<strong>When parties attempt to customize the appraisal process, execution formalities cannot be overlooked.<\/strong>&nbsp;A single missing signature or unmet condition precedent can render a carefully negotiated appraisal protocol meaningless.
